The agreement between you and SynapCTX for using the platform. Plain enough to read in one sitting, specific enough to rely on.
These Terms of Service (“Terms”) govern your access to and use of the SynapCTX platform, console, APIs, MCP endpoint, and the sctx command-line tool (together, the “Service”), provided by Cloudresty Limited, a company registered in England and Wales (company number 13644236; VAT number GB 392015217; registered office 39 The Metro Centre, Tolpits Lane, Watford, Hertfordshire WD18 9SB, United Kingdom), which operates the SynapCTX platform (“SynapCTX”, “we”, “us”). Please read them alongside our Privacy Policy.
By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.
SynapCTX indexes the source code you connect into a knowledge graph, retrieves relevant context on demand for AI coding agents and developers, and maintains durable organizational memory. Each organization is an isolated tenant; we do not expose one organization’s content, memory, or usage to another.
You must provide accurate account information and keep it current. You are responsible for maintaining the security of your credentials and for all activity under your account. You must be at least 16 years old and capable of forming a binding contract. Notify us promptly at security@synapctx.com if you suspect unauthorized use of your account.
The Service is offered under the plans described on our Pricing page. Each paid plan may begin with a 14-day trial that requires no payment card. At the end of a trial, if you have not subscribed, your organization enters a 14-day redemption window during which your indexed data is preserved and reduced to a minimal read-only allowance; subscribing during this window restores your plan immediately. After the redemption window, access is suspended and indexing stops, but your data is retained and we will contact you before removing anything.
SynapCTX is currently offered as an open beta. During the beta, paid plans are activated manually and features may change. Prices are stated exclusive of VAT and other applicable taxes, which are your responsibility. We will give reasonable notice before changing the price of a plan you are on.
You own your content. The source code, repositories, and other material you connect to the Service (“Your Content”) remain yours. You grant SynapCTX a limited, non-exclusive license to host, copy, process, index, embed, and transmit Your Content solely to operate and provide the Service to you and your organization. We do not use Your Content to train foundation models, and we do not share it outside the subprocessors identified in our Privacy Policy.
You represent that you have the rights and permissions necessary to connect Your Content and that doing so does not violate any law or third-party right (including the terms of any repository host, such as GitHub). You are responsible for the accuracy, legality, and appropriateness of Your Content.
You agree not to:
sctx, the SynapCTX token optimizer, is provided free of charge. It runs locally, transforms command output to reduce token usage, and reports savings to the platform when telemetry is enabled. It is provided “as is” and is subject to these Terms to the extent applicable. You may disable its telemetry at any time.
The Service, including its software, design, and documentation, is owned by SynapCTX and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership. Feedback you send us may be used to improve the Service without obligation to you.
We treat Your Content and your non-public usage data as confidential and protect them as described in our Privacy Policy. You agree to treat non-public information about the Service that we share with you as confidential.
We work to keep the Service available and reliable, but we do not guarantee uninterrupted operation. During open beta in particular, the Service may change, be limited, or experience downtime. We may modify or discontinue features with reasonable notice where practical.
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. SynapCTX does not warrant that the Service will be error-free, that retrieval results will be complete or accurate, or that it will meet your requirements. Outputs are aids to your judgment, not a substitute for it.
To the fullest extent permitted by law, SynapCTX will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or one hundred pounds sterling (£100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to indemnify and hold SynapCTX harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms, except to the extent caused by SynapCTX.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or its users; where practical we will give notice and an opportunity to cure. On termination, your license to use the Service ends; we will handle your data as described in the retention section of our Privacy Policy. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — survive.
We may update these Terms as the Service evolves. When we make a material change, we will update the “Last updated” date above and, where appropriate, notify you. Continuing to use the Service after a change takes effect means you accept the revised Terms.
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to them — subject to any mandatory consumer-protection rights you have under the law of the country where you live.
